VIRTUAL RECEPTION SERVICES AGREEMENT
Between Atrix Consulting S.A., "THE PROVIDER", and the customer identified in the cover sheet, "THE CUSTOMER", this agreement is entered into; it forms a single document with the cover sheet.
Clause 1. Purpose
THE PROVIDER supplies THE CUSTOMER with a subscription virtual reception service: call answering with a menu and artificial intelligence assistants, extensions and web phone, voicemail, support tickets, phone numbers and other features described in the cover sheet and on recepcionistavirtual.net. It is a value-added service provided over the network of an authorized telecommunications provider (currently Vocex) and over third-party services (cloud, synthetic voice, AI models).
Clause 2. Customer identification (condition for activation)
2.1 THE CUSTOMER cannot be anonymous. To activate the service the customer must provide the documents in section 2 of the cover sheet. Individuals: identity document. Legal entities: the legal representative's ID and the company's data and documents.
2.2 THE CUSTOMER declares that the data and documents are true, valid and its own, and undertakes to report any change (address, representative, company name) within 10 business days. Providing false documents is grounds for immediate termination without refund of the current period, without prejudice to legal action.
2.3 THE CUSTOMER authorizes THE PROVIDER to hand those data and documents to its numbering and telecommunications provider and to the competent authorities (for example SUTEL) when they require it, and only for that purpose.
2.4 THE CUSTOMER pays only after completing identification and signing this agreement. Therefore, once the agreement is signed and payment is made, THE CUSTOMER accepts that the money paid is non-refundable (clause 19). Until identity verification is approved, the service is not activated.
2.5 Numbers from other countries and international calls are activated only with verified identification and may require additional documents under the law of the number's country.
Clause 3. Service features and limits
3.1 Artificial intelligence answering is an automated tool and may make mistakes. THE CUSTOMER is responsible for configuring and reviewing it and for decisions made based on it.
3.2 The service is not an emergency service and does not guarantee calls to 9-1-1; it must not be used as the only means for critical health or safety communications.
3.3 Premium-rate (900) and special-charge information services are not offered.
Clause 4. Rights and obligations
The parties have the rights and obligations set out in the General Telecommunications Law (No. 8642), the Law for the Promotion of Competition and Effective Consumer Protection (No. 7472), the Regulation on the End-User Protection Regime, the Regulation on Service Provision and Quality, and SUTEL resolutions, to the extent applicable to this service.
Clause 5. Permitted use
THE CUSTOMER will not use the service for fraud, impersonation, unsolicited mass calls, harassment, unlawful content, unauthorized resale of minutes, or to avoid charges. THE PROVIDER may immediately block use that violates this clause and, if serious or repeated, terminate the agreement.
Clause 6. Term and minimum commitment
The agreement has an indefinite term and no minimum commitment. THE CUSTOMER may terminate it at any time (clause 18).
Clause 7. Prices, taxes and changes
7.1 THE CUSTOMER pays the monthly price in the cover sheet plus additional usage (calls, AI, extra numbers, top-ups). Prices include or show VAT separately as applicable; statutory "Other charges" (Red Cross, 9-1-1) are charged separately.
7.2 Price changes are notified at least 5 business days in advance by e-mail to the customer and on the website; if they harm the customer, the customer may terminate the agreement without penalty.
7.3 Any other change to the agreement is notified at least one (1) month in advance, by the same means, with the right to terminate without penalty if it harms the customer. Expansions requested by the customer (more extensions, assistants, numbers) are recorded with the customer's consent.
Clause 8. Prepaid balance, usage and excessive traffic
8.1 Calls and AI usage are deducted from a prepaid balance; when it runs out, additional usage is suspended, without affecting incoming calls or the balance notice.
8.2 THE PROVIDER monitors outgoing traffic. If it detects unusual or excessive usage (for example fraud through calls to high-cost destinations), it will block national or international outgoing traffic within a maximum of one (1) hour and notify the customer. To re-enable it, THE CUSTOMER must expressly request it and assumes what is billed from then on.
8.3 International calls are disabled by default.
Clause 9. Billing and payment
9.1 The electronic invoice is sent by e-mail within a maximum of ten (10) calendar days after the billing period closes. If late, the payment date is moved by the same number of days and the service is not suspended in that period.
9.2 Usage more than sixty (60) calendar days old since it was recorded is not billed.
9.3 Payment methods: those published on the site (card, SINPE Móvil, others). If a payment is not completed, THE PROVIDER will notify the customer. With the authorization in the cover sheet, the saved card is charged automatically.
9.4 If an incorrect charge is found, THE PROVIDER refunds the amount as money, invoice credit or balance within a maximum of 30 calendar days or on the next billing. While a billing complaint is awaiting an answer, the service is not suspended.
Clause 10. Temporary suspension for non-payment
An overdue unpaid invoice may temporarily suspend the service from the third business day after the due date, with at least one business day's prior notice. Service is not suspended on Saturdays, Sundays or holidays if no payment methods are available. Incoming communications and calls to emergency services and customer service remain. Reactivation is done within a maximum of three (3) business hours after payment.
Clause 11. Permanent suspension
After temporary suspension, THE PROVIDER may terminate the agreement for breach within a maximum of ten (10) business days, with prior notice, and dispose of the assigned number. It may also do so in case of a prohibited practice (clause 5).
Clause 12. Quality and availability
THE PROVIDER aims for a monthly availability of 99 % on its own platform and will repair faults attributable to it within a maximum of one (1) business day. Third-party faults (operator network, cloud, AI or voice providers) are handled with those providers and reported to the customer.
Clause 13. Compensation for interruptions
If the service is interrupted for reasons attributable to THE PROVIDER, THE CUSTOMER receives compensation proportional to the interruption time on the monthly price, as credit on the next invoice or as balance. There is no compensation for duly proven acts of God, force majeure or third-party acts, nor for scheduled interruptions that were notified.
Clause 14. Maintenance work
Scheduled work that affects the service is notified at least 48 hours in advance by e-mail or on the website.
Clause 15. Exemptions from liability
THE PROVIDER is not liable for failures beyond its control or foresight (act of God, force majeure, third-party act) that it can prove. Its total liability for damages may not exceed what THE CUSTOMER paid in the previous three (3) months, except in case of intent or where the law does not allow a limit.
Clause 16. Termination for prolonged interruptions
If an interruption attributable to THE PROVIDER lasts 36 continuous hours or more, or adds up to 72 hours or more in a month, THE CUSTOMER may terminate the agreement without penalty, paying only what was owed before the interruption.
Clause 17. Fault handling
Reports are filed through the panel, by e-mail (soporte@) or by the customer service phone. Each report receives a ticket number. If access to the customer's settings or equipment is needed, the customer allows it upon prior coordination.
Clause 18. Termination by the customer
THE CUSTOMER may terminate the agreement at any time, through the same channel used to contract or through the panel. THE PROVIDER has a maximum of three (3) business days to close it and will stop billing from then on. Termination does not release the customer from paying what is owed. Unused prepaid balance is governed by clause 19.
Clause 19. Balance when terminating
19.1 Payments for balance (call top-ups, AI balance) and subscriptions are not refunded, even if THE CUSTOMER cancels the service.
19.2 Credit balance has no expiration date. If THE CUSTOMER cancels the subscription while holding a balance, the account remains open and the balance is kept; THE CUSTOMER may use it as soon as a new subscription is contracted. Unused balance is not refunded in money.
Clause 20. Complaints
Complaints are free of charge, require no formalities or lawyer, and are filed through the service channels. Each receives a consecutive reference number and a reasoned reply within a maximum of ten (10) calendar days. If the reply is negative, insufficient or does not arrive, THE CUSTOMER may go to SUTEL (for telecommunications services), the National Consumer Commission, or the Data Protection Agency (for personal data).
Clause 21. Expiry of the right to complain
The right to complain to THE PROVIDER expires two (2) months after the event or after it became known, except for continuing events.
Clause 22. Personal data protection
22.1 THE PROVIDER processes the customer's data (identification, contact, documents, service usage) to provide the service, invoice, meet legal requirements and those of its telecommunications provider and, if THE CUSTOMER authorizes, to send offers. It does not sell them.
22.2 Part of the processing (cloud, voice, AI) is done by technology providers located outside Costa Rica; the current privacy notice details this.
22.3 Identification documents are stored encrypted, with restricted access, for the duration of the agreement and the legal period afterwards, and are not used for any other purpose.
22.4 THE CUSTOMER may request access, rectification or deletion of its data (Law No. 8968), except what must be kept by law. THE CUSTOMER is responsible for having the authorization of the people whose data it uploads or whose calls are recorded, and for giving the corresponding recording notice.
Clause 23. Call recording
Calls are recorded only if THE CUSTOMER enables it; the system plays the recording notice. THE CUSTOMER is responsible for the content and use of the recordings.
Clause 24. Assignment
THE CUSTOMER may not assign this agreement without THE PROVIDER's written authorization. THE PROVIDER may assign it to another duly authorized company, guaranteeing continuity of the service and data protection, with prior notice to the customer.
Clause 25. Notices
Notices to the customer are sent to the e-mail in the cover sheet and also shown in the panel. THE CUSTOMER must keep its e-mail up to date.
Clause 26. Electronic signature and copy of the agreement
26.1 THE CUSTOMER signs this agreement electronically using THE PROVIDER's online signature system, which sends the document to its e-mail and keeps an audit record; that signature has the value given by the Law on Certificates, Digital Signatures and Electronic Documents (No. 8454). It is recorded with date, time, IP address, text version and a hash of the signed document.
26.2 Upon signing, a copy of the signed agreement is sent to the e-mail in the cover sheet. The agreement without a signature is not valid.
Clause 27. Governing law and jurisdiction
This agreement is governed by the laws of Costa Rica. For customers abroad, the parties submit to the courts of Costa Rica ________.
Clause 28. Language
The Spanish text governs; any translation is for courtesy only.

THE CUSTOMER signs on the signature page at the end of this document, through THE PROVIDER's online signature system (Odoo Sign), which records the name, IP address, date and time and a hash of the signed document.
